Performance of closing actions in connection with the addendum to the joint venture agreement

The Management Board of Develia S.A. (the “Issuer”) would like to inform, with reference to (i) the current report no. 43/2024 of 21 June 2024 and (ii) the current report no. 33/2024 of 29 April 2024, that the transaction involving the Issuer joining the project company SPV Projekt A spółka z ograniczoną odpowiedzialnością spółka komandytowa (the “Project Company”) and SPV Projekt A spółka z ograniczoną odpowiedzialnością (the sole general partner of the Project Company) has closed today. The Project Company will operate with the intention of developing a housing project consisting of the construction of a housing estate of approximately 550-600 flats, located in Warsaw (the “New Project”).

The Issuer’s further cooperation with Grupo Lar Holding Polonia sp. z o.o. with its registered office in Warsaw and CGLS sp. z o.o. sp.k. with its registered office in Warsaw – i.e. the companies belonging to the Spanish Grupo Lar group (the “Partners”) with regard to the development of the New Investment is being carried out on the terms and conditions specified in the annex to the joint venture cooperation agreement of 13 August 2021. (the “Annex”), the conclusion of which has been announced by the Issuer in the current report no. 33/2024 of 29 April 2024.

According to the Issuer, the information on the commencement of cooperation with the Partners on the basis of the Annex constitutes inside information within the meaning of Article (1) of the MAR.

Legal basis: Article 17(1) in conjunction with Article 7(1)(a), (2), (3) and (4) of Regulation (EU) no. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (the Market Abuse Regulation) repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (“MAR”) in conjunction with Art. 2 and 3 of Commission Implementing Regulation (EU) 2016/1055 of 29 June 2016 laying down implementing technical standards as regards the technical conditions for appropriate public disclosure and delay of public disclosure of inside information pursuant to Regulation (EU) no. 596/2014 of the European Parliament and of the Council.
