Appointment of Supervisory Board Members for New Term of Office

The Management Board of Develia S.A. (the “Issuer” or the “Company”) inform that the Annual General Meeting of the Company, held on 30 June 2021, appointed the following persons as of 1 July 2021 to the Issuer’s Supervisory Board for a new three-year term of office, which is joint for all Supervisory Board Members: Mr Jacek Osowski, electing him as the Chairman of the Supervisory Board, Mr Paweł Małyska, electing him as the Vice Chairman of the Board, and Mr Piotr Pinior, Mr Piotr Borowiec, Mr Artur Osuchowski, Mr Piotr Kaczmarek and Mr Robert Pietryszyn. 

 

At the same time, the Issuer’s Management Board inform that due to the fact that the term of office for all Supervisory Board Members expired and that Mr Marcin Eckert was not appointed to the Supervisory Board for the new joint term of office – Mr Marcin Eckert’s tenure as Supervisory Board Member ended.

 

Based on information and declarations submitted, the new Supervisory Board Members consented to stand as the candidates and declared that they satisfied the criteria set for independent Supervisory Board Members. Furthermore, the new Supervisory Board Member stated that they were not engaged in any activity which competed with Develia S.A., did not participate in any business which was a Company’s competitor as a partner in a private or other partnership or as a shareholder in a company, and were not engaged in any competitive legal person as a member of its governing body.

 

The Issuer’s Management Board have attached hereto résumés of the Members appointment to the Issuer’s Supervisory Board.
