Information on Registration of Amendment to Issuer’s Articles of Association, Changes in Issuer’s Business Name and Address of Issuer’s Website

Legal basis: Art. 56(1)(2) of the Act on Public Offering- current and periodic information

The Management Board of DEVELIA S.A. (“the Issuer”) informs that today, i.e. 2 September 2019, the District Court for Wrocław-Fabryczna, the 6th Commercial Division of the National Court Register has registered an amendment to the Issuer’s Articles of Association concerning a change in the Issuer’s business name from “LC Corp Spółka Akcyjna” to “DEVELIA Spółka Akcyjna” and other amendments to the Issuer’s Articles of Association resulting from resolutions nos. 23, 24 and 25, which were adopted by the Ordinary General Meeting on 13 June 2019.

 

The Management Board of the Issuer further informs that the address of the Issuer’s website has been also changed from www.lcc.pl to www.develia.pl

 

Also, the Management Board of the Issuer announces the amendments to the Issuer’s Articles of Association made pursuant to Resolutions nos. 23, 24 and 25 of the Ordinary General Meeting which was held on 13 June 2019, as notified by the Issuer in the Current Report no. 24/2019 of 13 June 2019:

 

Article 1(2) and (3) of the Company’s Articles of Association

 

The Article previously read as follows:

“2. The Company’s business name shall be as follows: LC Corp Spółka Akcyjna.

 3. The Company may use an abbreviated business name: LC Corp S.A. and its distinctive figurative mark.”

 

The amended and approved Article reads as follows:

 “2. The Company’s business name shall be as follows: Develia Spółka Akcyjna.

 3. The Company may use an abbreviated business name: Develia S.A. and its distinctive figurative mark.”

 

Article 16(3) of the Company’s Articles of Association

 

The Article previously read as follows:

“Management Board Members are elected for a three-year term of office. The same person can be appointed as Member of the Management Board for another term of office lasting for not more than three years each.”

 

The amended and approved Article reads as follows:

 “3. Management Board Members are elected for a three-year common term of office. The same person can be appointed as Member of the Management Board for another term of office lasting for not more than three years each.”

 

Article 71

The Article previously read as follows:

“The share capital of the Company has been conditionally increased by virtue of the Resolution No. 3 carried by the Extraordinary General Meeting on 23 March 2007 by an amount not higher than PLN 3,000,000.00 (three million Polish Zlotys), through the issue of not more than 3,000,000 (three million) I series ordinary bearer shares having a par value of one (1) Polish Zloty each, in order to assign share subscription rights to the holders of A-series registered senior bonds issued pursuant to the Resolution no. 3 carried by the Extraordinary General Meeting of the Company on 23 March 2007, excluding the subscription right with respect to the previous Company’s shareholders.”

 

The amended and approved Article reads as follows:

Article 71 of the Company’s Articles of Association has been deleted.

According to Article 430(1) of the Code of Commercial Partnerships and Companies, the foregoing amendments have entered into force today, i.e. on the date on which the amended Articles of Association have been registered by the competent Registry Court. Pursuant to Article 430(5) of the Code of Commercial Partnerships and Companies, the Ordinary General Meeting of the Issuer have authorised the Supervisory Board to draw up a consolidated text of the Issuer’s amended Articles of Association. Information on the consolidated text of the Articles of Association being drawn up shall be released through a separate report.

The Issuer informed about the planned change in the Issuer’s business name and gave grounds for such a change in the Current Report no. 70/2018 of 19 November 2018.
