Two Separate Draft Resolutions to Replace Previous Draft Resolution No. 5 of Extraordinary General Meeting, Included in Agenda as Item 7, on Amendment to Company’s Articles of Association
Legal basis: Art. 56(1)(2) of the Act on Public Offering - current and periodic information
The Management Board of Develia S.A. (“the Issuer”) inform that pursuant to Article 399(1) of the Commercial Partnerships and Companies Code and Section 19(1)(2) of the Regulation of the Minister of Finance of 29 March 2018 on Current and Periodic Information Published by Issuers of Securities and on Conditions for Regarding Information Required by Law of Non-Member State as Equivalent (Dziennik Ustaw [Journal of Laws] of 2018, item 757), on 16 September 2020, adopted a resolution on changing the Draft Resolution No. 5 of the Extraordinary General Meeting convened on 6 October 2020 through the correction of the EGM’s own draft resolution on amendments to the Company’s Articles of Association, which was published in the Current Report No. 48/2020 of 9 September 2020. The said correction involves the replacement of the draft resolution in question with two separate draft resolutions covering the same amendments to the Articles of Association – separately with respect to Article 1(1) of the previous Draft Resolution No. 5 and separately with regard to Article 1(2). The new draft resolutions will be designated as no. 5 and no. 6 respectively, and consequently, the previous draft resolution no. 6 will be designated as no. 7. The reason for changing the draft resolutions as mentioned above is to enable shareholders to vote on the proposed amendments to the Articles of Association separately for each of the amendments concerned.
